Article I - Name
The name of this Society shall be the "Quad-Cities
African Violet Society". It shall
be affiliated with the African Violet Society of America, Inc.
Article II - Object
The object of this Society shall be to afford a convenient
and beneficial association of persons interested in the African Violet
(Saintpaulia), and also to gather and publish reliable information of the
propagation and culture of the African Violet.
Article III - Members
All persons who are interested in the African Violet are
eligible to membership in this Society.
There shall be two classes of membership: Individual and Honorary.
Individual membership dues are due at the annual meeting in
September and shall be considered delinquent October 1st and shall be dropped
from the membership roll if not paid by the October meeting date.
Honorary members are those persons deemed worthy of honorary
membership. Honorary memberships shall
be conferred by a two-thirds vote of members present at the meeting when the
motion is presented.
Awards, or types of awards, are to be determined by the
society.
Article IV - Officers and Duties of Officers
Section 1 - The officers of this Society
shall be: President, Vice President,
Secretary, Corresponding Secretary, and Treasurer.
Section 2 - The Nominating Committee shall report at the June meeting and
officers shall be elected by ballot to server one year. Majority vote shall constitute election. When there is but one candidate for office
election may be by voice. No member
shall be eligible to serve more than two consecutive terms in the same office.
Section 3 - Vacancies in office shall be
filled by the Executive Board.
Section 4 -
a. The President shall preside at all meetings of the
society. The President shall appoint
committees with approval of the Executive Board. The President may serve as Newsletter Editor or may appoint an
editor.
b. The Vice President shall serve in the absence of the
President and will be chairman of the program committee.
c. The
Secretary shall keep an accurate record of all meetings and send a copy of the
minutes to the President within fifteen (15) days and also maintain the
membership roll.
d. The
Corresponding Secretary shall send correspondence as directed by the President.
e. The
Treasurer receives all monies of the Society.
The Treasurer shall also collect dues and shall pay all bills as
directed. The Treasurer shall be a
member of the plant sale committee.
Article V - Meetings
Section 1 - The regular meetings of the
Society shall be held the second Monday of each month unless otherwise ordered
by the Society.
Section 2 - The regular meeting in September
shall be the Annual Meeting. At this
meeting officers are to be installed and reports are to be received from all
Officers and from all Committee Chairmen.
Section 3 - Special meetings may be called by
the President or by the Executive Board.
Section 4 - Ten (10) members of the Society
shall constitute a quorum.
Article VI - Executive Board
Section 1 - The Executive Committee, which is
made up of the elected Officers of the Society together with the Past President
and the Committee Chairmen, shall constitute the Executive Board.
Section 2 - Meetings of the Executive Board
may be called by the President of at the request of three (3) members of the
Board.
Article VII - Committees
Section 1 - A Nominating Committee composed
of three members shall be appointed by the President and announced at the April
Meeting. The Nominating Committee shall
prepare a slate of candidates to be submitted at the June meeting.
Section 2 - A Librarian shall be appointed by
the President. The Librarian shall be
custodian of books, magazines, etc of the Society and shall keep an accurate
file of those to whom books, magazines, etc have been checked out.
Section 3 - A Bylaw Chairman shall be
appointed by the President.
Section 4 - An Auditing Committee of two (2)
members shall be appointed by the President to audit the books of the
Treasurer. They shall report their
findings to the September meeting.
Section 5 - A Budget Committee composed of
three (3) members shall be appointed to
present a new budget at the October meeting.
Section 6 - The Program Chairman, together
with the President, shall arrange all programs of the meetings of the Society.
Section 7 - A Newsletter Editor shall be
appointed to write and mail out the newsletter as often as designated by the
Society. The President may serve as the
Editor or appoint another member as Editor with the approval of the Executive Board.
Section 8 - The President shall appoint a
Hostess Chairman who will secure two (2) members to serve as hosts or hostesses
for each meeting of the Society.
Section 9 - The Ways & Means Chairman
will have charge of raffle items, leaf sales, plants, tickets, etc at each
regular meeting. This Chairman willbe
appointed by the President.
Section 10 - Such other committees standing or
special as deemed necessary shall be appointed by the President with the
approval of the Society.
Article VIII - Parliamentary Authority
The rules contained in Roberts Rules of Order Revised
shall govern the Society in all cases in which they are applicable and when
they do not conflict with these bylaws.
Article IX - Amendment
These bylaws can be amended at any regular meeting of the
Society by a two-thirds vote, provided that the Amendment has been submitted in
writing at the previous regular meeting.
